Welcome to the Key Bridge Ecosystem ("Ecosystem"). Please read these Terms of Service ("Terms") carefully before accessing or using the Key Bridge Ecosystem. The Key Bridge Ecosystem is a platform that allows you to purchase online products and services (for free or for a charge) that can be accessed with your Key Bridge account and / or Key Bridge assigned or recognized security credentials ("Products").
Some Products are developed and provided by Key Bridge. Others, although sold by Key Bridge, may be developed and maintained by Key Bridge or by a third-party software provider. Third party Products are typically governed by separate terms of service and privacy policy. Your purchase and use of Products through the Ecosystem application is subject to these Terms and may also be subject to additional terms as specified the third party service provider. In those circumstances Key Bridge attempts to provides links so you may review all third party offer conditions before purchase.
By using the Ecosystem you are agreeing to be bound by these Terms.
Terms of service
The Ecosystem is provided by Key Bridge and is governed by either our Terms of Service and/or our Customer Agreement, depending on the type of your account, as well as these Terms.
Use requirements
You must be 13 years of age or older to use the Ecosystem if you live in the United States; if you live in another country, you must comply with your country's minimum age laws, have a valid Key Bridge account, and have agreed to your applicable Terms.
You represent and you must have have the authority to bind any entity, its affiliates, and all users who access the Ecosystem if you are agreeing to these Ecosystem Terms on behalf of a company, organization or other legal entity. If you do not have authority, you must not accept these Terms and you may not use the services.
Third party service providers
If you purchase a third party provided product or service ("Service") then you are purchasing a right to access and use the offered Service with Key Bridge provided security and access credentials. While you are required to make any related payments directly to Key Bridge you may receive the Service from a this party and not from Key Bridge. The Provider is solely responsible for the services it provides and any claims that you or any other party may have relating to that Service or your use of that service.
Key Bridge is not a party to agreements you may make with the Service Provider concerning terms, privacy, support, etc., and Key Bridge is not responsible for third party provided Services, their content, or any claims that you or any other party may have concerning the Service. We are however a third party beneficiary of the agreement between you and the Service Provider and we reserve the right (and will be deemed to have accepted the right) to enforce that agreement against you as a third party beneficiary.
Payment, billing schedule, and cancellation
All payments for Products and Services will go through Key Bridge. The terms of your payment and fees will be governed by our standard Customer agreement. By using the Ecosystem you agree to pay Key Bridge all charges incurred with your purchase of the Service. Each purchase is an electronic contract between you and Key Bridge and, if the service is provided by a third party, between you and the respective third party. If you are purchasing a free Service offer you may or may not be required to provide payment information, depending upon the Provider terms.
Billing schedule; No refunds. Your payment schedule is determined by the payment schedule you chose when you created your Key Bridge account (e.g. free, monthly, annual, professional, enterprise, etc.). For monthly or y early payment plans, Ecosystem purchases are billed in advance on a monthly or yearly basis respectively and are non-refundable. There will be no refunds or credits for partial months of service, downgrade refunds, or refunds for months unused; however, the service will remain active for the length of the paid billing period. If you would like to cancel the a service you can do so by going into your Settings in the global navigation bar at the top of the screen.

Your data and Key Bridge's privacy policy
Key Bridge must share certain Personally Identifiable Information (PII) with the Service Provider when you purchase or subscribe to a Service so they may provide you with the Service. This must occur regardless of your privacy settings. Key Bridge will only provide the minimum amount of information necessary for the purpose of the transaction, and you will be able to view the scope of shared information and granted permissions and you may accept or deny them when you grant a Service authorization. Service authorization and access to your account can vary widely, ranging from simple access to your user account name, ID, and email address to full remote control of your account including the ability to create, read, modify and delete your private data.
If you cancel a third party Service and revoke access through your account settings you will no longer be able to access the Service and the Service Provider will no longer be able to access your account. The Service Provider is responsible for deleting your PII from its systems within its defined window. Please contact the Service Provider to ensure that your account has been properly terminated.
Data security disclaimer. Information security and custodianship of your data when using a third party provided Service is the responsibility of the Service Provider. You are responsible for understanding the security considerations of the purchase and use of the Service for your own security, risk and compliance considerations.
Rights
The rights granted to you to use any Service are to you and are not transferrable to any third parties. Any rights to provide or resell Services to third parties must be granted directly by the Service Provider.
Updates
From time to time Providers may update and/or upgrade their Service. Key Bridge checks for available updates from time to time, including but not limited to bug fixes or enhanced functionality. You agree that such updates may be automatically requested and installed without further notice to you.
Service blocking
Key Bridge may block a Service or disable its functionality for legal or policy reasons. In the event that we must block or disable a third party provided service we will work with the Service Provider to notify affected users and effect a fair remedy.
Disclaimer; Limitation of liability; Release and indemnification
Disclaimer. Your use of the Ecosystem and any Services obtained through the Ecosystem is at your sole risk. Other than as expressly stated, Key Bridge provides the Ecosystem "AS IS" and "AS AVAILABLE." Key Bridge does not make or imply any warranties or commitments about the Ecosystem and offered Services, including but not limited to the specific functionality available through the Ecosystem, their reliability, availability, or ability to meet your need.
We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Ecosystem (or any part of it) with or without notice.
Limitation of liability. You understand and agree that Key Bridge will not be liable to you or any third party for any loss of profits, use, goodwill, or data, or for any incidental, indirect, special, consequential or exemplary damages, however arising, that result from: (i) your use or inability to use the Ecosystem or any offered Service; (ii) any modification, price change, suspension or discontinuance of the Ecosystem or Services; (iii) the Ecosystem generally or the software or systems that make the Ecosystem available; (iv) unauthorized access to or alterations of your transmissions or data; (v) statements or conduct of any third party, Service Provider, or Product on the Ecosystem; (vi) any other user interactions that you input or receive through your use of the Ecosystem; or (vii) any other matter relating to the Ecosystem.
Release and indemnification. If you have a dispute with one or more Service Providers you agree to release Key Bridge from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
You agree to indemnify us, defend us, and hold us harmless from and against any and all claims, liabilities, and expenses, including attorneys' fees, arising out of your use of the Ecosystem, including but not limited to your violation of these Terms, provided that Key Bridge (1) promptly gives you written notice of the claim, demand, suit or proceeding; (2) gives you sole control of the defense and settlement of the claim, demand, suit or proceeding (provided that you may not settle any claim, demand, suit or proceeding unless the settlement unconditionally releases Key Bridge of all liability); and (3) provides to you all reasonable assistance, at your expense.
Miscellanea
Section headings. Throughout these Terms each section includes titles of the following terms and conditions. These section titles are not legally binding.
Non-assignability. Key Bridge may assign or delegate these Terms, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any rights or obligations under these Terms without our prior written consent, and any unauthorized assignment and delegation by you is void.
Governing law. You agree that these Ecosystem Terms and your use of the offered Services are governed under Virginia law and any dispute related to the Developer Products must be brought in a tribunal of competent jurisdiction located in or near Fairfax, Virginia.
Severability, no waiver, and survival. If any part of these Terms are held invalid or unenforceable, that portion of the Terms will be construed to reflect the parties' original intent. The remaining portions will remain in full force and effect. The failure of Key Bridge to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Our rights under these Terms will survive any termination of these Terms.
No modifications; Complete agreement. These Terms may only be modified by a written amendment signed by an authorized representative of Key Bridge, or by the posting by Key Bridge of a revised version. These Terms, together with Key Bridge's Privacy Statement, represent the complete and exclusive statement of the agreement between you and us. These Terms supersede any proposal or prior agreement oral or written, and any other communications between you and Key Bridge relating to the subject matter of these terms.
