This agreement contains the terms and conditions that govern your access to and use of key Bridge service offerings and is an agreement between Key Bridge Wireless LLC (“Key Bridge,” “we,” “us,” or “our”) and you or the entity you represent (“you” or “your”). This Agreement takes effect when you click an “I Accept” button or check box presented with these terms or when you otherwise agree use any of the service offerings. You represent to us that you are lawfully able to enter into contracts (e.g., you are not a minor). If you are entering into this Agreement for an entity, such as the company you work for, you represent to us that you have legal authority to bind that entity.
The abbreviated version
Account required
You must have a valid account associated with a valid email address and a valid form of payment to access Key Bridge services. You may only create one account per email address.
Changes
We may change or discontinue any or all service offerings or change or remove functionality of any or all of our service offerings from time to time. We will notify you of any material change to or discontinuation of the service offering.
We may change from time to time or discontinue any APIs offered as part of a service. We will use commercially reasonable efforts to continue supporting the most recent previous version of such API for 12 months after the change or discontinuation except if doing so (a) would pose a security or intellectual property issue, (b) is economically or technically burdensome, or (c) would cause us to violate the law or requests of governmental entities.
Log-In credentials and account keys.
Log-in credentials, authentication keys and digital certificates are for your internal use only and you will not share, sell, transfer or sublicense them to any other entity or person, except that you may disclose your credentials, keys or certificates to an authorized third parties accessing Key Bridge services on your behalf. For example: you may enable a third-party application to access your Key Bridge account and interact with Key Bridge services.
Fees and payment
We calculate and bill fees and charges monthly. You will pay us the applicable fees and charges for use of our services using one of the payment methods we support without setoff or counterclaim, and without any deduction or withholding. We may elect to charge you interest at the rate of 1.5% per month (or the highest rate permitted by law, if less) on all late payments. We may increase or decrease or add new fees and charges or remove existing fees and charges for any existing Services you are using by giving you at least 30 days’ prior notice.
Each party will be responsible, as required under applicable law, for identifying and paying all taxes and other governmental fees and charges (and any penalties, interest, and other additions thereto) that are imposed on that party with respect to any transactions and payments executed under this Agreement.
Termination
You may terminate this Agreement for any reason by closing your account for all services for which we provide an account closing mechanism. We may terminate this Agreement for any reason by providing you at least 60 days’ advance notice.
Data ownership
Unless otherwise identified, all data provided by Key Bridge services is the property of Key Bridge and is protected by U.S. and international copyright law. Personal, non-commercial users may view, copy and employ service data for personal, non-commercial use provided that the following copyright notice appears on the content: "Copyright (C) Key Bridge Wireless LLC." Commercial users may may view, copy and employ service data for commercial use subject to the following terms:
In no event shall any user publish, retransmit, redistribute or otherwise reproduce any Key Bridge service data in any format to anyone without permission.
No agency or endorsement
You may not publicly represent or imply that Key Bridge is participating in, or has sponsored, approved or endorsed the manner or purpose of your use of our services. No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms and Conditions. You agree not to make any public statements that assert or imply any relationship with Key Bridge, unless you have Key Bridge's prior written approval.
Indemnification
You agree to hold harmless, to indemnify Key Bridge and, to the extent permitted by applicable law, defend Key Bridge, at your expense, from and against any third party claim arising from or in any way related to your use of our services, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature. In such a case, we will provide you with written notice of such claim, suit or action.
Non-exclusive
You acknowledge that these Terms constitute a non-exclusive agreement. Key Bridge may develop products or services that compete with products or services that you offer without incurring any liability. Nothing herein shall constitute or be considered to be a limitation upon or waiver of the privileges and immunities of Key Bridge, all of which are specifically reserved.
Disclaimers, releases, and limitations on liability
KEY BRIDGE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. KEY BRIDGE MAKES NO WARRANTY THAT: (A) THE SERVICE OR DATA WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; (C) THE DATA THAT MAY BE OBTAINED THROUGH THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF DATA OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.
ANY DATA ACCESSED, DOWNLOADED OR OTHERWISE OBTAINED ON OR THROUGH THE USE OF KEY BRIDGE SERVICES IS USED AT YOUR OWN DISCRETION AND RISK. KEY BRIDGE SHALL HAVE NO RESPONSIBILITY FOR ANY DAMAGES, LOSS OF INFORMATION OR FUNCTIONALITY THAT RESULTS FROM YOUR USE.
KEY BRIDGE RESERVES THE RIGHT TO MAKE CHANGES OR UPDATES TO, AND MONITOR THE USE OF, THE SERVICE AND INFORMATION PROVIDED ON OR THROUGH THE SERVICE AT ANY TIME WITHOUT NOTICE.
KEY BRIDGE AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR REVENUES, COSTS OF REPLACEMENT GOODS, LOSS OR DAMAGE TO DATA ARISING OUT OF THE USE OR INABILITY TO USE OUR SERVICES, DAMAGES RESULTING FROM USE OF OR RELIANCE ON THE INFORMATION PRESENT, EVEN IF KEY BRIDGE OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL KEY BRIDGE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO, OR USE OF, THE SITE OR ANY CONTENT PROVIDED ON OR THROUGH THE SITE.
Miscellaneous
These Terms and Conditions may be amended by Key Bridge from time to time at our sole discretion. Upon amendment, we will place a notice on our home page. These Terms and Conditions are fully assignable by Key Bridge and will be binding upon and inure to the benefit of our successors and assigns.
